Terms of Service

These Terms of Service ("Terms") govern access to and use of Pastor Echoes (the "Service"), operated by Unbalanced Force Dynamics, LLC ("UF," "we," "us"). By accepting these Terms — including by clicking "Accept" or by using the Service — the church or organization identified at acceptance ("Church," "you") agrees to be bound by them. The person accepting represents that they are authorized to bind the Church.

1. The Service

Pastor Echoes ingests a Church's publicly available sermon library (e.g., the Church's YouTube channel) and transcribes, corrects, cleans, segments ("chunks"), summarizes, embeds (as numerical vectors), and indexes that material to provide pastor-facing research and search tools; a member-facing public page (the "Valley of Echoes"); searchable sermon clips and illustrations ("Stories"); and related features. The Service is delivered as a hosted subscription, and may be improved or changed over time.

3. License from Church to UF

The Church grants UF a non-exclusive, worldwide, royalty-free license to access, ingest, copy, process, transcribe, analyze, and create Derived Data from the Church Content for the purpose of providing and improving the Service. The Church represents that it has the rights necessary to grant this license for its sermon library.

4. Ownership

4.1 Church Content.

As between the parties, the Church retains ownership of its underlying Church Content (its sermon recordings and its own branding/marks).

4.2 Derived Data is UF property.

All Derived Data — the transcripts, cleaned text, chunks, embeddings, indices, Stories, and all other artifacts produced by the Service — are created by UF's proprietary systems and are owned by UF / Pastor Echoes. Derived Data is an integral, inseparable part of the subscribed system.

4.3 Survival after termination.

Upon expiration or termination of the subscription, the Church's access to the Service and the Derived Data ends, but the Derived Data itself remains the property of UF and may be retained by UF as part of the system. The Church is not entitled to receive, export, or continue using the Derived Data (transcripts, chunks, embeddings, indices, Stories) after termination. This Section 4 survives termination.

4.4 The Service and platform.

UF owns all rights in the Service, its software, models, pipelines, prompts, and infrastructure. No rights are granted except the limited right to use the Service during a paid subscription.

4.5 Church's own content.

The Church may always obtain or keep its own underlying Church Content from its own sources (e.g., its YouTube channel and its own contact records); Section 4.3 concerns only the Derived Data produced by the Service.

5. Subscription, Fees, and Term

The Service is offered on a month-to-month subscription at the then-current price (currently $77/month, including up to five (5) pastor seats per Church), billed in advance via our payment processor. The Church may cancel at any time, effective at the end of the current billing period. Fees are non-refundable except where required by law. Failure to pay may result in suspension or termination and loss of access under Section 4.3.

6. Member Privacy & Data Protection

Member privacy is a core design principle. In summary: Members use the public Valley of Echoes anonymously — no accounts, names, logins, or personal profiles; the Service does not track or profile Members or sell data; engagement is recorded only in aggregate, anonymous form; and a Member's favorites are stored on their own device. 7. Acceptable Use

The Church and its Authorized Users will not misuse or disrupt the Service; reverse engineer or extract the underlying models, embeddings, or indices except as the Service permits; upload content they lack the rights to; or use the Service to violate law or third-party rights.

8. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service. UF's confidential information includes the Service, its models, pipelines, and Derived Data systems.

9. Warranties; Disclaimer

The Service is provided "as is" and "as available." UF disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. UF does not warrant that transcripts or AI-generated summaries are error-free.

10. Limitation of Liability

To the maximum extent permitted by law, UF will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. UF's total liability arising out of or relating to the Service will not exceed the fees paid by the Church in the twelve (12) months preceding the claim.

11. Indemnification

The Church will indemnify UF against claims arising from the Church Content or the Church's breach of these Terms, including claims that the Church lacked rights in its sermon library.

12. Term & Termination

These Terms apply while the Church uses the Service. Either party may terminate as described in Section 5. Upon termination, access ends and Sections 4, 8, 9, 10, and 11 survive.

13. Changes to the Service or Terms

UF may update the Service and these Terms. Material changes will be communicated, and continued use after the effective date constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which Unbalanced Force Dynamics, LLC is organized, without regard to conflict-of-laws rules.

15. Electronic Acceptance (E-SIGN)

By clicking "Accept," the Church creates a binding electronic signature under the E-SIGN Act (15 U.S.C. § 7001). The accepting person's name, IP address, user agent, and the time of acceptance are recorded as evidence of acceptance.
